- 1
Acceptance and agreement
By purchasing a licence, downloading, installing or using Murmur AI (the “Software”), or using any related website, account or service (together, the “Service”), you agree to be bound by these terms and conditions in full. If you do not agree, do not purchase, install or use the Software. These terms constitute the entire agreement between you and Murmur AI (“we”, “us”, “our”) and supersede any prior statement, representation or communication, whether written or oral.
- 2
Licence grant
We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the Software for your own personal or internal business purposes, on devices you own or control, for the duration of your paid licence period. A licence covers one individual human user only. You may not share, resell, rent, lease, lend, distribute or otherwise make the Software available to any third party.
- 3
Restrictions
You may not copy, modify, adapt, translate, decompile, disassemble or reverse engineer the Software, except to the extent such restriction is prohibited by applicable law. You may not remove or obscure any proprietary notice, circumvent licence or activation mechanisms, use the Software to build a competing product, or use automated means to access or probe the Service.
- 4
No warranty — “as is”
THE SOFTWARE AND SERVICE ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, CONDITIONS AND REPRESENTATIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, QUIET ENJOYMENT AND NON-INFRINGEMENT. We do not warrant that the Software will be uninterrupted, timely, secure, accurate, complete, error-free, free of defects, compatible with any hardware or software, or that any defect will be corrected.
- 5
Accuracy of output
The Software transcribes and reshapes speech using machine learning, which is inherently fallible. Output may contain errors, omissions, misheard words, invented content or inaccuracies of any kind. You are solely responsible for reviewing, verifying and approving everything the Software produces before relying on it, sending it, publishing it or acting upon it. We accept no responsibility whatsoever for any consequence of any output, including but not limited to errors in contracts, medical, legal or financial documents, correspondence, code or any other material produced with the Software.
- 6
Your responsibility and your content
You are solely responsible for your use of the Software and for all content you dictate, create, process or transmit through it. You must not use the Software for any unlawful, harmful, defamatory, infringing or fraudulent purpose, or to process content you have no right to process. We claim no ownership of your content, and you bear all risk associated with it.
- 7
Exclusion of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE, OUR OWNERS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, REVENUE, BUSINESS, CONTRACTS, OPPORTUNITY, GOODWILL, ANTICIPATED SAVINGS, DATA OR USE; BUSINESS INTERRUPTION; COST OF SUBSTITUTE GOODS OR SERVICES; OR ANY OTHER PECUNIARY OR NON-PECUNIARY LOSS, ARISING OUT OF OR IN CONNECTION WITH THE SOFTWARE, THE SERVICE, THESE TERMS OR YOUR USE OF OR INABILITY TO USE THEM — HOWSOEVER CAUSED, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), BREACH OF STATUTORY DUTY, MISREPRESENTATION OR OTHERWISE, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- 8
Cap on liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THE SOFTWARE, THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID US FOR THE SOFTWARE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR £10, WHICHEVER IS GREATER. You acknowledge that this allocation of risk is reflected in the price and is an essential basis of the bargain between us.
- 9
Indemnity
You agree to indemnify, defend and hold harmless Murmur AI and its owners, officers, employees, agents and suppliers from and against any and all claims, demands, actions, damages, losses, liabilities, fines, costs and expenses (including reasonable legal fees) arising out of or relating to: (a) your use or misuse of the Software or Service; (b) any content you dictate, create or transmit through it; (c) your breach of these terms; (d) your violation of any law or the rights of any third party; or (e) any claim that your content infringes or misappropriates any third-party right.
- 10
Payments, renewals and refunds
Licences are billed in advance on an annual basis and renew automatically unless cancelled before the renewal date. You may cancel at any time; cancellation takes effect at the end of the current paid period, and no partial refunds are given except where required by law. Except where required by applicable consumer law, all fees are non-refundable. We may change prices on renewal with reasonable notice. Nothing in these terms limits any statutory right that cannot lawfully be excluded.
- 11
Availability, changes and updates
We may modify, suspend, withdraw or discontinue the Software, the Service, or any feature of either, in whole or in part, at any time and without liability to you. We do not guarantee that any version of the Software will remain available, supported or compatible with future operating systems. Updates may add, change or remove functionality.
- 12
Termination
We may suspend or terminate your licence and access to the Service immediately, without notice or liability, if we reasonably believe you have breached these terms, misused the Software, or for any other reason at our sole discretion, subject to any refund required by law. Upon termination your licence ends immediately and you must cease all use and delete all copies of the Software. All clauses that by their nature should survive termination shall survive, including the disclaimers, limitation of liability and indemnity.
- 13
Intellectual property
The Software, the Service, and all associated branding, design, code, documentation and content are and remain our exclusive property, protected by copyright, trade mark and other laws. These terms grant you no ownership rights of any kind. All rights not expressly granted are reserved.
- 14
Third-party services
The Service may rely on third-party providers (for example payment processing and email delivery). We are not responsible for the acts, omissions, availability or failures of any third party, and your dealings with any third party are solely between you and them.
- 15
Force majeure
We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including but not limited to acts of God, war, terrorism, strikes, pandemics, power or internet failures, failure of third-party services, or governmental action.
- 16
Governing law and disputes
These terms, and any dispute or claim arising out of or in connection with them, the Software or the Service (including non-contractual disputes), are governed by the law of England and Wales. You agree that the courts of England and Wales have exclusive jurisdiction, and you irrevocably submit to that jurisdiction and waive any objection to venue.
- 17
Changes to these terms
We may revise these terms at any time by posting the updated version on this page. Continued use of the Software or Service after a change constitutes acceptance of the revised terms. The version in force at the time of your purchase or renewal governs that transaction.
- 18
General
If any provision of these terms is held invalid or unenforceable, it shall be modified to the minimum extent necessary or severed, and the remainder shall continue in full force. Our failure to enforce any right is not a waiver of it. You may not assign or transfer these terms without our prior written consent; we may assign them freely. Nothing in these terms creates any partnership, agency or employment relationship, and no third party has any right to enforce these terms under the Contracts (Rights of Third Parties) Act 1999.
